Terms of Service

These Terms of Service (“Terms”) govern your access to and use of The Margin, a productivity application operated by The Margin (“we,” “us,” or “our”), available at themarginapp.com and as a Progressive Web App (the “Service”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent that you meet these requirements.

2. Account Registration

  • You may register using email (magic link) or Google OAuth
  • You are responsible for maintaining the security of your account credentials
  • You must provide accurate and complete information
  • You must not share your account with others or create multiple accounts
  • You must notify us immediately of any unauthorized access to your account

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload or share content that is defamatory, obscene, or infringes on intellectual property rights
  • Attempt to gain unauthorized access to the Service, other accounts, or systems connected to the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse-engineer, decompile, or disassemble any part of the Service, except as permitted by applicable law
  • Use automated tools (bots, scrapers) to access the Service without our written consent
  • Resell or redistribute access to the Service without authorization
  • Upload malware, viruses, or any destructive code

4. Your Content

4.1 Ownership

You retain full ownership of all content you create, upload, or store through the Service (“User Content”), including boards, cards, notes, checklists, habits, expenses, and file attachments. We claim no ownership rights over your content.

4.2 License to Us

You grant us a limited, non-exclusive, royalty-free license to host, store, transmit, display, and process your User Content solely for the purpose of providing, maintaining, and improving the Service. This license ends when you delete your content or close your account.

4.3 Shared Content

When you share a board or workspace with other users, you grant those users access to view and (if permitted by your access settings) edit the shared content. You are responsible for managing sharing permissions.

5. AI Features

The Service includes optional AI-powered features (Margin Chat, semantic search, quick actions). By using these features:

  • You acknowledge that AI responses are generated by our proprietary AI system and may not always be accurate
  • You understand that content you query or reference may be sent to AI providers for processing
  • You agree not to use AI features to generate content that violates these Terms or applicable law
  • AI-generated suggestions are provided “as-is” and should not be relied upon as professional, legal, financial, or medical advice

6. Subscriptions & Payments

6.1 Free Plan

The Personal plan is free and includes core features without time limits. We reserve the right to modify the scope of the free plan with reasonable notice.

6.2 Paid Plans

Pro and Team plans are billed monthly or annually. Prices are listed on our pricing page and may be updated with 30 days' notice. All fees are non-refundable except as required by law or as described in Section 6.4.

6.3 Billing

Payments are processed securely through our payment provider. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel at any time; your subscription remains active until the end of the current billing cycle.

6.4 Refunds

If you are unsatisfied with a paid plan, you may request a refund within 14 days of your initial purchase. Contact us at [email protected].

7. Third-Party Integrations

The Service allows you to connect third-party services (Google Sheets, Google Calendar, Zapier, webhooks). These integrations are governed by the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services. You authorize data exchange with these services at your own discretion.

8. Self-Hosting

We provide Docker images and configuration for self-hosted deployments. Self-hosted instances are operated entirely by you. We are not responsible for the security, availability, or data integrity of self-hosted deployments. Self-hosted users are still bound by these Terms with respect to our source code and intellectual property.

9. Intellectual Property

The Service, including its design, code, logos, trademarks, and documentation, is owned by The Margin and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or branding without written permission. The “Midnight Library,” “Abyssal Calm,” and “VOID_SIGNAL” theme names are trademarks of The Margin.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when practical)
  • Unplanned outages or technical difficulties
  • Force majeure events beyond our control

The offline-first architecture ensures you can continue working locally even when the Service is unavailable, with changes syncing when connectivity is restored.

11. Termination

11.1 By You

You may close your account at any time from your settings page. Upon closure, your data will be deleted in accordance with our Privacy Policy.

11.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if required by law. We will provide notice when reasonably possible and allow you to export your data before termination takes effect, except in cases of severe abuse.

12. Disclaimers

Important — please read carefully

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted. You use the Service at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law, The Margin and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service, whether based on warranty, contract, tort, or any other legal theory. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim or $100, whichever is greater.

14. Indemnification

You agree to indemnify, defend, and hold harmless The Margin and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the Service, your User Content, or your violation of these Terms.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved as follows:

  • Informal resolution: Contact us first at [email protected]. We will attempt to resolve the issue within 30 days.
  • Governing law: These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
  • Jurisdiction: Any legal proceedings shall be brought in the courts located in Delaware, and you consent to personal jurisdiction there.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account.

17. Miscellaneous

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Margin.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
